【摘要】 控股股东代理行为研究已成为公司治理研究的重点,对控股股东代理行为的识别和量化是控股股东代理问题研究的基础。本文在分析了控股股东行为及其特征后选取了关联交易、财务报告和信息披露、财务政策、投资融资与再融资、操纵上市公司股价5个方面40个评价指标设计了控股股东代理行为评价体系,为准确识别、系统评价控股股东代理行为提供了方法和依据。更多还原

【Abstract】 In recent years research on agency behavior of controlling shareholders has become the focus of corporate governance. Studying agency problem between controlling shareholders and medium & small shareholders depends heavily on identifying and quantifying controlling shareholders’ agency behavior. Starting from analyzing the behavior and the characteristic of controlling shareholders, this paper constructs the evaluation system in five aspects of affiliated business, financial report and disclosure, financial strategy, investment and finance and the manipulation the price of shares using 40 indexes to evaluate the controlling shareholders’ agency behavior. This evaluation system comes up with a way for identifying and evaluating the controlling shareholders’ agency behavior in terms of systematical and comprehensive.更多还原
