市场化进程、治理环境与控制权私人收益

【摘要】 控制权私人收益体现着控股股东对中小股东利益的侵占。通过考察1997-2010年我国上市公司控制权私人收益水平,发现我国上市公司的控制权私人收益平均来说比较高,整体上有逐年下降趋势;不同产业中,第二三产业中的控制权私人收益较高;在东中西三大区域中,西部的控制权私人收益最高。并且研究结论得出市场化水平的提高以及法治环境的改善等可以降低控制权私有收益水平。

【Abstract】 This paper reviews the theory of private benefits of control (PBC), and estimates the PBC of china listed companies from 1997 to 2010. The results show that the average PBC are high and decrease year by year. The PBC of the second and the third industry are higher than that of the first one. The PBC of west areas are the highest in the Chinese three areas. In addition, this paper conducts the multi-variable linear regression analysis on the factors influencing the PBC, and finds that the increasing of the market-oriented level and the favorable corporate governance environment can reduce the level of PBC.
