【摘要】 实证研究表明投资者法律保护存在明显的国别差异。对于国别差异的原因存在着政治、文化和法律渊源等三种竞争性的解释。本文通过构建一个理论模型,将内部人与外部人的各种经济政治特征及法律渊源等因素加以综合考察,试图对投资者法律保护国别差异的根源给出一个更合理和普遍的解释——投资者法律保护的国别差异决定于各国相关利益集团力量对比和法官的独立程度。更多还原

【Abstract】 The empirical research have documented that legal protections given investors vary a lot across countries.In this paper we try to build a model that cap- tures the links between legal investor protection and the economic and political fea- tures of the insider-outsider conflict.The result shows that the difference of legal protections is due to the power of related interest groups and independence of courts.更多还原
