【摘要】 公司法人人格否认制度是我国公司法于2005年新增的重要组成部分,对我国司法实践中法院审判否认公司法人人格提供了法律依据,然而我国公司法仅对其作了较为原则的规定,对其适用的法律要件和认定标准规定得较为模糊。随着我国市场经济的发展,司法实践中涉及滥用公司法人人格独立和股东有限责任相互关联的案件越来越多,而处理此类案件的关键就在于明晰公司法人人格否认这一制度。由于我国近年来的经济发展与法治的完善,使得我国市场公司数量逐年攀升,公司独立承担责任和股东有限责任给与了股东及投资人幕后保障作用,但该制度又为股东及投资人滥用法人独立人格和其有限责任提供了条件。我国公司法规定的法人人格制度,相较来说出现的时间并不长,但是与国外的公司体制发展来看,我国市场经济中出现的公司股东滥用公司有限责任和股东权利导致的市场经济秩序混乱,损害社会公共利益与债权人利益等问题不时发生。英国美国等西方国家已经较为成熟的运用相关的制度来解决此问题,那就是创设公司法人人格否认这一制度,经过实证案例的运用,可以较好地解决该问题。本文除绪论和结语外,第一部分内容主要介绍了该制度在我国的适用,探讨了该制度目前在我国司法实践中法院运用的实际情况。第二部分内容探讨分析了目前我国现行公司法对司法实践中适用公司法人人格否认制度的相关认定标准还未做出具体规定,我国法院在司法实践中运用该制度的时候并不统一,各自适用认定的标准不同,导致做出的审判结果不同,所以列举问题要点进行说明。第三部分内容系笔者根据我国目前的立法现状和司法实践中的公司法人人格否认制度适用情况模糊、对认定构成人格否认的标准不一、举证责任分配制度不健全等,针对这些不足提出了相应立法完善建议。以司法实践准确无误的适用和完善公司法人人格制度为目的,从当前我国司法实践中法律依据的价值和司法实践的现实需求等角度阐述了我国公司法人人格否认制度存在的必要性,探讨了该制度在我国适用的司法现状及存在的问题,并提出了相关的完善建议。更多还原

【Abstract】 The denial of corporate personality as legal person system is an important component newly added in China’s company law in 2005,which provides a legal basis for the court’s trial denial of corporate personality as legal person in China’s judicial practice.However,China’s company law only provides relatively principled provisions on it,and the applicable legal requirements and recognition standards are relatively vague.With the development of China’s market economy,there are more and more cases involving the abuse of corporate personality independence and shareholders’ limited liability in judicial practice.Due to China’s economic development and the improvement of the rule of law in recent years,the number of companies in China’s market has been increasing year by year.The company’s independent responsibility and shareholders’ limited liability give shareholders and investors a behind-the-scenes guarantee,but the system also provides conditions for shareholders and investors to abuse the independent personality and limited liability of legal person.Stipulated by the regulations of the company legal person personality system in our country,compared with the time is not long,but the system development with foreign company,the shareholders of a company in our country market economy caused by abuse of limited liability company and shareholder rights market economic order,harm public interests and the interests of the creditors and other problems happen from time to time.The United Kingdom,the United States and other western countries have been relatively mature in the use of the relevant system to solve this problem,that is,the establishment of the corporate personality denial system,through the use of empirical cases,can better solve this problem.In addition to the introduction and conclusion,the first part mainly introduces the application of the system in China,and discusses the actual situation of the application of the system in China’s judicial practice.The second part discusses analysis of the current our country the current company law apply to the company legal person personality denial system in the judicial practice of the relevant standards we haven’t made specific provision,the court in the judicial practice in our country to use when the system is not unified,the respective applicable standards,led to a trial results are different,so point enumeration problem for that.The third part is the author according to the current status of legislation in our country and the judicial practice of corporate personality denial system in the application of fuzzy,the identification of personality denial constitutes the standard is not sound,the burden of proof distribution system is not sound,and so on,in view of these shortcomings put forward the corresponding legislative improvement Suggestions.Accurate apply in judicial practice and improve the system of corporate personality,for the purpose,from the value of the current legal basis in the judicial practice in our country and the realistic requirement of judicial practice and so on Angle this paper expounds the necessity of the company legal person personality denial system,and discusses the applied in the system in our country’s judicial status quo and existing problems,and puts forward some perfecting Suggestions.更多还原
