【摘要】 公开承诺的作出,旨在获得投资者的资金,获取监管机构的信任,稳定证券市场的预期,提升投资者的信心。但在承诺履行的过程中,上市公司及其相关主体出于种种原因,违背承诺初衷,超期不履行承诺、随意变更承诺、违反承诺,严重侵害证券交易方与相关投资者的合法权益,造成证券交易市场的诚信失序。上市公司及其相关主体失信行为频发,引发学界对于公开承诺履行过程中涉及的相关法律问题的思考与探讨。本文拟在考察目前我国证券市场中上市公司及其相关主体的公开承诺履行情况的基础上,对承诺履行过程中出现的法律问题以及不履行承诺的原因进行分析,以保护证券市场上中小投资者的合法权益为原则,探讨解决相关法律问题的方法,完善对于不履行公开承诺行为的事前、事中、事后监管,从民事责任承担与监管完善两个方面解决上市公司及其相关主体履行承诺的问题。文章除绪论与结论外共分为三个部分。第一部分是对公开承诺履行问题的一般解读。首先讨论公开承诺的性质认定问题,为后文民事责任的认定奠定理论基础;其次分析公开承诺履行现状,发现承诺履行过程中存在的问题并分析不履行承诺行为的类型、特点及影响,最后总结影响承诺履行的因素,便于后文相关问题的解决。第二部分重点探讨不履行公开承诺行为承担民事责任问题。主要阐述不履行公开承诺行为承担民事责任的必要性,探讨不履行公开承诺行为的法律责任认定。在法律责任认定中,对比违约责任与侵权责任两种责任承担方式在不履行承诺问题上的救济效果,寻求合理的救济方式,最大程度上保障投资者合法权益。第三部分讨论的是公开承诺履行的监管问题。在梳理我国目前对公开承诺履行的监管现状后,结合前面两个部分的分析,提出完善我国公开承诺履行的监管制度的方案,分别利用事前、事中、事后三个不同阶段、不同的措施来保证公开承诺的履行,保障投资者的合法权益与证券市场的诚信。更多还原

【Abstract】 The public commitment of listed companies is aimed at obtaining the funds of investors,gaining the trust of securities regulators,stabilizing the expectations of securities market and enhancing the confidence of investors.But in fulfilling commitment,for various reasons,the listed companies and their stakeholders went against the original intention of commitment.They unfulfilled the commitment beyond the deadline,altered the commitments arbitrarily and breached the commitments.It seriously infringed on the legitimate rights and interests of the securities dealers and the relevant investors,and resulted in the integrity disorder of the securities trading market.Dishonesty of the listed companies and their stakeholders exposed frequently,it aroused researchers’ discussion and reflection on some related legal issues in fulfilling commitments.This thesis intends to investigate the performance of public commitments by listed companies or their stakeholders in securities market of China presently,and analyzes the legal issues which occurred in fulfilling commitment and the reasons for the breach of public commitments.This article is to probe the solution of some related legal issues and perfect the pre-seo regulation,pro-seo regulation and postmortem supervision of breach of public commitments with the principle that protecting the legitimate rights and interests of small and medium-sized investors of the securities market.This thesis is composed of three sections except for the introduction and conclusion.Part One is a general interpretation of the public commitment to performance.First,determine the nature of the public commitment,and lay the theoretical foundation for the confirmation of civil responsibility.Second,analyze the status quo of commitments performance to find the issue and the type,characteristic and impact of breach of commitment.Last,summarize the factors which could influence the commitments performance.It is convenient for solution in the later section.Part Two focuses on the issue of the civil liability of the listed companies and their stakeholders who breaching the public commitments.This part mainly elaborates the necessity of bearing civil liability for the unfulfilled public commitment and probe the legal liability of breach the public commitment.When identify the legal liability,it needs to compare two different forms of assume liability including the responsibility for breach of contract and the tort liability with remedies for breach of commitment and find a reasonable remedy to protect the legitimate rights and interests of investors to the utmost extent.Part Three discuss the supervision of fulfilling the public commitment.After combing the supervision status of the public commitment,this section proposed the solutions which perfect the supervision system of fulfilling the public commitment combining the analysis of previous two sections.Then utilize varying measures at different stages including beforehand,halfway and afterward to ensure the fulfilling of the public commitments and protect the legitimate rights and interests of investors and good faith in securities market in China.更多还原
