【摘要】 资产证券化自20世纪70年代以来在美国得到迅速的发展,作为一种融资方式,证券化在得到广泛的应用。随着知识产权这个生产因素在社会发展和商业生活中得到日益广泛的重视,以及资产证券化的融资方式在经济发展中的长足运用,两股具有生命力的生产要素和融资方式在经济的发展下得到创新的融合——知识产权证券化。虽然知识产权证券属于新生事物,其发展历史还很短,在操作的过程中仍面临着一些难题,但是自诞生之后,其交易总量还是不断飙升。然而目前,知识产权的证券化,其理论研究远不完善,其实践尚不发达,而规范“知识产权证券化”的法律制度体系也存在着较多可商榷探讨的空间,甚至可以说仍存在诸多问题。本文即是研究与知识产权证券化实践有关的法律问题。为更加言之有物并具备实践意义,本文择取知识产权中的音乐作品版权作为分析对象,对于音乐作品版权证券化进行探析。在本文的写作过程中,本文按照如下逻辑思路,层层深入进行研究:首先,本文明晰几组概念,对其进行简要说明,这是全文在知识背景上的铺垫,从资产证券化乃至知识产权证券化,再细分至音乐作品版权证券化,介绍它们的概念与基本流程,以及相关的发展前景和法律现状;其次,按照音乐作品版权证券化的参与主体为风险类别的划分标准,分别从音乐作品版权证券化发起人、特殊目的载体(SPV)、原始债务人和中介服务机构四个角度对于音乐作品证券化的风险进行分析;再次,按照同样的划分标准,依据前一部分的风险分类,对于音乐作品版权证券化的不同主体可能带来的风险,提出对应的法律控制方法;最后,提出关于音乐作品版权证券化风险的法律控制的构想,通过立法和其他相关措施,将音乐作品版权证券化纳入到整个资产证券化的立法体系当中,以期推动音乐作品版权证券化的发展。更多还原

【Abstract】 The asset securitization is a mode of financing,it is firstly been used since the 1970 s in the United States,and then it is been widely used around the world.With the increasing importance of intellectual property rights in social development and commercial life and the great use of asset securitization,two strands of the above business factors reach an innovative fusion----intellectual property securitization.Although the intellectual property securitization’s history is very short,the operation will facing some problems,the trading volume increased quickly since its birth.At present,intellectual property securitization is lack of monographs,theory foundation,lack of systematic and in-depth study.Social life needs legal norms,however,the legal standards for intellectual property securitization practice is not complete.This paper will do the study of legal issues related to intellectual property securitization practices.First,in this paper,several groups of concepts should be clear,this is the background of all study.And Introduce the basic process and regulations of the music copyright securitization.Then,several risk from the sponsors,the Special Purpose Vehicle,the debtors,the agencies should be written.After again,put forward legal control methods about these risks.Finally,according to the above research,We should adopt a separate way to legislate in order to bring the music copyright securitization into the whole system of assert securitization to promote the music copyright securitization.更多还原
