【摘要】 投资者-东道国争端解决(Investor-State Dispute Settlement,以下简称ISDS),对于外国投资者而言,是其获得的可以将之与东道国间的投资争端,诉诸国际仲裁庭的一种法律制度。进入21世纪,随着国际间跨国投资活动不断深入实践,国际投资争端解决机制也不断更新和发展,一些旨在对跨国投资进行规制的新努力开始出现。跨太平洋伙伴关系(Trans-Pacific Partnership,以下简称TPP)谈判自2009年美国高调加入之后,就吸引了国际社会的广泛关注,其ISDS机制设计等投资相关议题尤然。一方面,美国等国家通过各种媒体和讨论声称,包含投资专章在内的TPP协定是一个高水平、高质量、面向21世纪的自由贸易协定;另一方面,该协定加深了现有投资规则的自由化力度,并将ISDS机制纳入其中,试图为未来的国际投资制定新的国际规则。因此,有必要研究TPP协定ISDS机制存在的法律问题。有鉴于此,本文试图从法律问题和法律对策的角度,通过查阅中英文文献与数据,采用归纳分析、比较分析、案例分析等研究方法,对TPP协定ISDS机制所存在的法律问题进行分析,并提出相应的法律对策。本文分为五章,共计4万3千余字。在逻辑上,第一章对TPP协定ISDS机制进行概述,包括TPP协定ISDS机制的设立背景及其主要内容;第二章对TPP协定ISDS机制的"超国民待遇"问题进行研究,包括TPP协定ISDS机制"超国民待遇"的概念、引发的问题、存在动因和意义以及解决与完善建议;第三章对TPP协定ISDS机制的运行问题进行研究,包括TPP协定ISDS运行机制的主要内容、存在的问题以及解决与完善对策;第四章对TPP协定ISDS机制的滥诉问题进行研究,包括TPP协定ISDS机制滥诉的概念和该问题的重要性、现行法律措施及其评价;第五章对TPP协定ISDS机制的影响及我国的因应之道进行研究,在分析TPP协定ISDS机制的影响基础上,从中国的角度,提出了完善我国ISDS条款的法律建议。更多还原

【Abstract】 Investor-State Dispute Settlement(ISDS)is an instrument of international investment protection,which grants an investor the right to use dispute settlement proceedings against a foreign government recourse to international arbitration tribunal under public international law and private international law.In the 21st century,some new efforts which are intended to regulate foreign investment begin to appear,with the international investment constantly updating and developing,as well as the legal system of its dispute settlement.TPP has attracted worldwide attention since the United States took part in negotiating it in 2009,especially for ISDS and other investment-related issues.On the one hand,the United States claims that TPP including the Investment Chapter is not only a high-level free trade agreement but also a high-quality international investment agreement in the 21st century through a variety of media and conventions.On the other hand,the ISDS of TPP will develop the liberalization of current international investment rules,which also attempts to formulate a kind of new international investment rules in the future as well.Therefore,it is necessary to study the legal issues with the ISDS of TPP.In view of above,this research tries to analyze the legal issues with ISDS of TPP by using documentary research,data analysis,inductive analysis,comparative analysis,case analysis and other methods of research and propose several legal responses in the end.This research is divided into five chapters with more than 43 thousands total words.Logically,Chapter Ⅰ is an overview of the ISDS of TPP.From Chapter Ⅱ to ChapterⅣit discusses the legal issues for,Super-national Treatment,operation and frivolous suits of the ISDS of TPP in each chapter.Chapter Ⅴ is about the legal influence of the ISDS of TPP as well as the legal responses from China.更多还原
