基于“新三板”挂牌A公司股改方案的设计与实施

【摘要】 “新三板”市场的主要任务是为创新型中小微企业提供服务的第三家全国性证券交易场所,承担着中小微企业发展壮大的重任。通过“新三板”的挂牌,可以帮助创新型公司实现股权结构的多元化、法人治理结构的规范化。所以很多中小型企业通过改革发展成为股份制公司,并希望能够在“新三板”成功挂牌,实现公司跨越式的发展。A公司在经营管理中存在较多弊端,尤其是公司股权结构单一、持股比例不合理和法人治理结构不完善等问题,严重影响了A公司的发展。因此本文选取A公司股份制改革方案的设计与实施为研究对象,在梳理A公司的概况、经营现状的基础上,提出了A公司股份制改革的必要性,并设计了A公司股份制改革的方案,重点完成了股权结构、配套法人治理结构的设计。通过A公司股份制改革方案的实施,论文总结了国有资产流失、同业竞争、土地及房屋所有权、员工观念转变等难题的破解过程及方式。通过对A公司股份制改革方案的设计与实施,希望为其他公司在“新三板”挂牌前股份制改革方面提供实践启示。更多还原

【Abstract】 "The new three board" market is the third national securities trading place which mainly provide service for small and micro enterprises in the field of innovative, entrepreneurial, scientific and technological, bear the responsibility for the growth of small and micro enterprises. Through the new three board listing, it can help to broaden the financing channels, improve the corporate governance mechanism, realize the diversification of ownership structure. So many small and medium enterprises reformed into a joint-stock company, and hope to be in the new three board listed, to achieve the development of the company by leaps and bounds.At present, A company has a lot of disadvantages in business management, especially the equity structure is single, the shareholding ratio is unreasonable and the corporate governance mechanism is not perfect, etc.,seriously affecting the A company to list in the new three board. Therefore this paper selects the design scheme of the shareholding reform and the implementation of the A company as the main research object, firstly, it analyzes the general situation of A company, current situation of management and the necessity of the reform of shareholding system; secondly, it designs A company shareholding system reform, which focuses on the ownership structure and corporate governance structure and set for a detailed analysis; finally, the main content is the implementation of A company shareholding system reform and how to solve the relevant issues which happened in the implementation. Through the design and implementation of the A company shareholding system reform program, it is hoped that this paper can both provide a reference for the shareholding system reform before listed in the new three board, and enrich the theoretical basis of the reform.更多还原
