【副题名】以中越双边投资争议为视角

【摘要】 随着中国资本走向全球,海外投资安全越来越引起中国企业的重视。然而近年来我国在伊拉克、利比亚、叙利亚等国的投资纷纷因为政治风险而蒙受重大损失。2014年5月,因中越南海争端越南国内发生针对中资企业的暴力事件,该事件导致中资企业受损严重,越南政府对企业的保护义务严重缺失,后期的保险理赔工作亦不及时。本文对该起事件的风险源进行了研究,找出问题的根源。政治风险的引发是由于国家之间的政治分歧所致,政治分歧理应用政治手段解决,不应蔓延到侵犯对方国家海外投资的合法利益。当违法行为触犯了国际投资法的相关规定,国际投资法应当发挥作用,对政治风险造成的损失进行救济。受损国家的政府或者保险机构利用保险机制对受损企业进行及时有效的补偿,同时根据与东道国之前签订的双边投资协定中有关规定行使代位求偿权,向造成损害的东道国提出赔偿要求。当前,我国无论是国内法还是与他国签订的双边投资协定都存在一定的法律问题,本文就这些问题进行了详细的阐释,并寻求新的构建双边投资协定模式配套海外投资保险制度对海外投资的政治风险加以有效的法律机制保障。更多还原

【Abstract】 With Chinese capital going global, Chinese enterprises pay more and more attention to the overseas investment security. However, in recent years, China’s investment in Iraq, Libya, Syria and other countries suffered heavy losses because of political risks. In May 2014, due to the dispute in South China Sea between China and Vietnam, violence against Chinese-invested enterprises occurred in Vietnam, causing serious damages and losses to Chinese-invested enterprises. Facing the violence, there was a serious lack of the obligation to protect enterprises in Vietnamese governments, and the insurance works later were also not in time. The author in this thesis will study the source of risk of this incident, and to find out the root cause of such problems.Political risks are caused by political differences among countries and shall be solved by political means, but not to infringe the legal rights and interests of the investment of home countries. When the conduct of host countries violates the relevant provisions of international investment laws, the law must play its functions and remedy the losses caused by political risks. The national government or insurance agencies in the home country can adopt the insurance mechanism to timely and effectively compensate the enterprises suffering losses in the host country, and then raise claims for compensation against the host country, by using the right of subrogation under provisions of bilateral investment treaty signed between home country and host country.At present, there are some legal problems in our domestic laws and bilateral investment treaties signed with other countries. The author in this thesis will thoroughly discussed those problems and seeks new mode of bilateral investment treaty together with overseas investment insurance scheme, creating effective legal protection mechanisms to political risks.更多还原
