【摘要】 自二十世纪五十年代起，股权激励在西方发达国家受到了广泛的认同和积极的推广。过去的几十年中，关于股权激励的理论研究与实证分析，一直被作为热点问题得到国内外学者的关注与研究。在理论上股权激励虽然仍存在分歧，但其实践意义越来越多地得到重视与肯定。实践证明，股权激励对于企业改善其治理结构，提高自身管理效率，降低其代理成本，增强凝聚力和竞争力可以起到非常积极的作用。近年来，我国上市公司也一直探索、研究股权激励及其方案，并且不断在挫折中前进。作为一种有效的长期激励方法，股权激励对于我国企业的薪酬制度的改善，推进企业的发展发挥着至关重要的作用。本文主要探索我国上市公司股权激励方案存在的问题，根据最新已公布与实施的股权激励方案分析我国上市公司股权激励现状，为解决面临的问题提出建议措施。本文拟采用文献研究、案例研究与比较研究相结合的方法，阐述国内外股权激励方面的研究现状，并结合实际案例，分析股权激励的方案设计、实施结果等过程中出现的主要问题及解决措施。更多还原

【Abstract】 Since the1950s, equity incentives have been widely recognized and activelypromoted in western developed countries. In the past a few decades, the theoreticalresearch and empirical research on equity incentives have been a hot issue, getting theattention and research of scholars at home and abroad. There still exist differences in thetheory of equity incentives, but its practical significance is getting more and more attentionand affirmation. Practice proves that the equity incentives play a very active role forenterprises in improving its governance structure and management, reducing agency cost,enhancing their cohesive force and the competitiveness. In recent years, the publiccompanies in china have been exploring and researching the equity incentives and continueto move forward in frustrations. As a kind of effective long-term incentive method, equityincentives play a vital role in the improvement of our country’s enterprise salary systemand the development of enterprises. This paper mainly explores the problems of equityincentives of public companies; analyzes the present situation of the equity incentives ofpublic companies, according to the latest published and implemented equity incentivesschemes, as well as puts forward suggestions and measures on how to solve these problems.This paper adopts literature research, case study and comparative study, expounds thestatus of domestic and foreign study on equity incentives, and analyzes the main problemsand solutions in the process of schematic design and implementation results of equityincentives combined with the actual cases.更多还原
