【摘要】 买方在所有权保留的标的物上能否设定抵押,前提就需要搞清所有权保留的约定是否有效,还需要对善意取得的“善意”进行界定,最重要的是对所有权的保留的效力有一个深入的分析。只有这样,才能更好地维护双方的利益,促进交易。为了此类事情的顺利解决,有必要完善我国的相关立法,同时为了预防此类事情的发生,应该健全所有权保留相关方面的法律和制度,借鉴其他国家的立法经验,确立所有权买卖中的权利和义务。论文共分为三个部分：第一部分介绍海安县农村信用合作联社诉海安县爱之缘服饰有限公司基本案情,分析在所有权保留案件中双方当事人的争议焦点,引出在此类案件的中存在的主要问题。第二部分主要分析了所有权保留的法律构成、所有权保留的适用问题、以及期待权的问题和所有权保留的效力,从对内效力和对外效力两个方面进行了分析。第三部分分析了目前的现状,并提出了所有权保留的立法完善建议。更多还原

【Abstract】 Whether the buyer to retain ownership of the subject matter can set motgages, the premise is to make the retention of ownership to the contract whether it is effective or not, and also to define the "good faith",the most important is to analysis deeply the the retention of ownership of validity. Only in this way,can we better guarantee the interests of the both paties,and promote the trade. In order to solve such kind of thing well, it is necessary to perfect the relevant legislation in China. At the same time to pervent such kind of thing from happening,we shoud improve the retention of the relevent aspects of the law and the system,learn from the experience of other counties, to establish the trade ownership rights and obligations.This thesis is divided into three paties:the first part is to introduce Haian County Rural Credit Cooperative Association sue Conty of edge of love seaclothing Limtited company the basic case, and analysis in the retention of title in the case of both paties to the disputed focus, to lead to the main problems existing in such case.The second part is to analysis the ownership retention form,looking forward to the question and the validity of ownership retention,from the internal and external validity effectivess analysis on two aspects.The third part is to analysis the present situation,and to put forward the legislative suggestions of property ownership reservation.更多还原
