【摘要】 国有控股公司的出现,为解决国有企业权、责、利不统一的问题,提供了一个值得实践的方式,也成为构建国有资产管理体系所需关注的一个焦点。广泛存在的国有控股公司的失控问题,不得不引起我们的重视。国有控股公司有其特殊性,它既肩负着主导国民经济发展的重任,又是参与市场竞争的相对独立的经济实体,这就造成了企业目标与政府目标的矛盾和冲突。本文试图从政府投资主体和市场竞争主体两方面,来论述国有控股公司的两重经济职能,以及它们对于国企改革的指导和示范作用。作为政府投资主体,它们必须在国民经济中发挥主导作用,成为我国经济持续、稳定发展的保障;作为市场竞争主体,它们必须参与市场竞争,在竞争中提升企业的创新能力和综合实力。本文要讨论的关键是如何规范国有控股公司的行为,一方面,要在市场竞争条件下履行政府投资主体职能,落实国家产业发展政策;另一方面,要在政府的宏观政策指导下履行市场主体职能,既不脱离政府的宏观政策指导,又能有效避免政府的过度行政干预,以及如何通过这两方面职能的有机结合,达到健全国有资产管理体制的目标。本文共分六个部分。导论部分阐明了论文的研究目的,结构框架和研究方法。第一章是国有控股公司的形成及两重经济职能的概述。主要通过对国有控股公司的定义及其形成过程的阐述,说明了建立国有控股公司的必要性,及其两重经济职能的重要作用。第二章是国有控股公司在国民经济中的主导作用。论述了国有控股公司的主导地位及其重要性,并分析了影响其发挥主导作用的因素,为改革和完善国有控股公司指明了方向。第三章是国有控股公司在市场竞争中的主体作用,主要以超产权理论为基础,阐明了市场竞争主体是有效避免政府过度干预的手段,并分析了影响国有控股公司市场竞争力的因素,为完善其市场竞争主体职能提供了改革的思路。第四章是国有控股公司两重经济职能的有机结合。从市场竞争主体职能和政府投资主体职能的相互作用出发,论述了二者之间的内在联系。在社会主义市场经济中,它们不仅不是完全对立的,而且可以相互补充和相互促进,实现有机结合。第五章是完善国有控股公司两重经济职能的途径。试图建立一种尽可能弱化和摆脱政府的微观干预,同时又能承担和实现政府的宏观目标的国有企业的经营管理模式,从而健全和完善国有资产的管理体系。更多还原

【Abstract】 The state-owned Holding company’s appearance, for the solution State-owned business power, the responsibility, the advantage not unified question, has provided the way which is worth practicing, also becomes a focal point which the construction state asset management system must pay attention. The widespread existence’s state-owned Holding company’s out of control question, can not but bring to our attention. The state-owned Holding company has its particularity, it both shoulders is leading the national economy development the heavy responsibility, and is participates in the market competition and the relatively independent economic entity, this has created the business goal and the government goal contradiction and the conflict.This article attempts from the government investment main body and the market competition main body two aspects, elaborates the state-owned Holding company’s twofold economic functions, as well as they regarding state enterprise reform instruction and exemplary role. As the government investment main body, they must play the leading role in the national economy, becomes our country economy continually, the steady progression safeguard; As the market competition main body, they must participate in the market competition, promotes enterprise’s innovation ability and the comprehensive strength in the competition. This article needs to discuss how is the key the standard state-owned Holding company’s behavior, on the one hand, must fulfill the government investment main body function under the market competition condition, carries out the country industrial development policy; On the other hand, must fulfill the market main body function under government’s macroscopic policy instruction, both are not separated from government’s macroscopic policy instruction, and can avoid government’s excessive administrative intervention effectively, as well as how through these two aspect function’s organic synthesis, to achieve the perfect state asset management system’s goal.This article is divided six parts. The introductory remarks part has expounded the paper research goal, the structural framing and the research technique. The first chapter is the state-owned Holding company’s formation and the twofold economic functions outline. Mainly through to the state-owned Holding company’s definition and forming process’s elaboration, explained the establishment state-owned Holding company’s necessity, and twofold economic functions influential role. The second chapter is the state-owned Holding company’s in national economy leading role. Elaborated the state-owned Holding company’s dominant position and the importance, and analyzed has affected its display leading role the factor, to reform and consummates the state-owned Holding company to indicate the direction. The third chapter is the state-owned Holding company’s in market competition main body function. Mainly take the ultra property right theory as the foundation, had expounded the market competition main body avoids the method which effectively the government intervenes excessively, and has analyzed the influence state-owned Holding company market competitiveness factor, to consummate its market competition main body function to provide the reform mentality. The fourth chapter is the state-owned Holding company twofold economic functions organic synthesis. Embarked from the market competition main body function and the government investment main body function’s interaction, elaborated between the two’s inner link. In the socialist market economy, they are not only not oppose completely, moreover may supplement and promotes, realize the organic synthesis mutually. The fifth chapter is the consummation state-owned Holding company twofold economic functions way.
