【摘要】 重庆YF国有资产管理公司由重庆市国资委通过市场化运作组建成立的地方性国有资产管理公司,公司除担当重庆国企不良债务的处置平台外,今后公司还将作为重庆国有企业债务重组、关闭破产、“退二进三”、环保搬迁的资金周转平台以及重庆国有资本经营预算管理的辅助手段。由于我国AMC运营模式表现为政策与市场并重的特点,要求以政策为导向,采取市场化运作方式,因此,在YF公司的具体运营中存在着公司性质界定不清,影响公司运营效率、缺乏有效的约束机制、经营政策不完善、缺乏有效的激励机制、盈利手段单一、公司自身的融资能力还比较薄弱等问题。为了探索一条使公司能持续健康发展的道路,选择了“重庆YF国有资产管理公司运营模式研究”为题展开研究,具有重要的现实意义和实践指导意义。论文首先通过对重庆YF国有资产管理公司的现有运营模式的优劣势进行分析,然后结合国有资产管理的相关理论,参照借鉴国内外国有资产管理公司的经验,对YF公司新的运营模式进行了设计,主要是将原有的国有独资渐进地转变为股份制运营模式,基于新的模式,本文对YF公司原有的组织结构、资产处置手段、经营方式等方面进行了描述性构建。最后对新模式的实施提出了相关建议。本文的创新点在于考虑了充分利用“官办民营”的经营方式解决公司融资瓶颈,利用信托分层处置方式解决处置中的定价难题,开展金融租赁提高公司自身效益等。在其他文献中,对于地方国有资产管理公司的运营模式通常是综述性的研究或者就是集中研究政府和国有资产管理公司的所有权关系,而很少对运营模式的各方面提出具体详尽的构想,而本文,针对YF公司的现状提出了详尽的新的运营模式的具体构想和实施建议。论文研究能对重庆YF国有资产管理公司的运营模式创新提供借鉴与指导。更多还原

【Abstract】 Chongqing YF state-owned asset management company is formed through the market-oriented operation of the establishment of local state-owned assets management company, the company plays a platform which deals with the bad debt of state-owned enterprises in Chongqing, what’s more the company will also serve as the future of state-owned enterprises in Chongqing debt restructuring, the shutdown and bankruptcy, "retreat II into three" the relocation of the environmental protection platform, as well as cash flow of state-owned capital of Chongqing operating budget management aids. Since China’s AMC operating mode for the performance of both policy and the characteristics of the market for policy-oriented and adopt market-oriented mode of operation, therefore, YF companies operating in the specific nature of the company as defined unclear, affect the company’s operating efficiency, the lack of an effective restraint mechanism, operating policies perfect, the lack of an effective incentive mechanism, a single means of profit, the company’s own financing capacity is still rather weak, and so on.
