湖南省属国有企业引进战略投资者现状与对策研究

【摘要】 如何在省属国有企业改革中积极引进战略投资者，实现投资主体多元化，切实转换企业经营机制，全面提高企业的核心竞争力，增强国有经济的控制力、影响力和带动力，实现国有经济布局和结构的战略性调整，是我省省属国有企业改革面临的重大课题。本文在充分调研的基础上，结合当前国内外实践与学术界的研究情况，首先对战略投资者的界定、战略投资者与其它类型投资者的比较分析、期限锁定、持股比例确定、应具备条件、以及引进战略投资者的积极作用与风险等一些问题，比较系统地进行了理论上的思考。然后，通过分析省属国有企业引进战略投资者面临的新形势背景与现状，特别是通过具体案例分析，总结了省属国有企业引进战略投资者存在的经验及教训，归纳出了省属国有企业引进战略投资者的六种主要形式，阐述了省属国有企业引进战略投资者的具体思路、分类思考意见和对策措施。最后，文章主要得出了以下结论：战略投资者是指在国内外具有相当知名度和雄厚的资本实力与产业背景、与对象企业产业关联紧密、持股量较大、以谋求长期战略利益为目的、积极参与公司治理的法人投资者。引进战略投资者具有非常积极的作用。目前，省属国企引进战略投资者应把握机遇，创新方式与途径，改善自身条件，分类引进，政府、国资部门要进一步优化环境，加强协调服务，规范运作，切实加快引进战略投资者步伐，提高引进战略投资者质量与水平。更多还原

【Abstract】 How to introduce Strategic Investor in the reform of provincial stateowned enterprises, realize invest main body’s pluralism, transformmanagement style, Upgrade Enterprise Core Competitive Power in allsided, and build up the control power, influence power, lead power ofenterprises, implement the strategic restructuring of state-ownedeconomy, which is a important task that we have to face in this reform.This essay is based on plenty research of practice and theoretic inhome and abroad. We are the first one who put up consideration ontheoretic which in preambles involves: confirm the definiens of tacticinvestors, compare analyses between tactic investors and other investor,time limit, stock holding proportion, qualification, actively effecting andrisk of introduce-into of Strategic Investors and so on.And then, we conclusion the experience and major six modes ofintroduce-into of Strategic Investors, expound notion of different sort andcountermeasure of introduce-into of Strategic Investors in stated ownedenterprise through the analyses the background and actuality ofintroduce-into of Strategic Investors in provincial stated owned enterprisein the new time, specially for cases analysis.Finally, we have got this conclusion: The true tactic investors arewho have close connection with enterprise business, long-time holdenterprise’s large share, actively participate in the enterprise’smanagement, and hold strong integrated strength. The introduce-into ofthem can upgrade enterprise’s core competitive power from manyaspects.Now, the introduce-into of tactic investors of provincial enterpriseswhich should grasp the opportunities, innovate the modes and differentways in improving condition of ourselves, and staple introduce-into.
