【摘要】 商业银行作为经营货币业务的特殊企业法人，与其他企业法人一样，同样要遵循优胜劣汰的市场经济一般规律。长期以来，我国政府过多地承担了因银行机构经营不善所造成的巨大损失。我国至今没有建立真正的商业银行破产制度，缺乏针对商业银行特殊性而制定的特殊破产规则，商业银行破产与其他企业法人一样适用破产法和民事诉讼法及其相关司法解释等关于破产的规定。随着我国加入WTO，银行破产风险日益突出，商业银行破产立法也随之急迫。 本文拟通过以下四个方面着手论述在我国构建商业银行破产制度的问题。 第一部分在分析商业银行破产的必然性趋势的基础上，对当前国际上商业银行破产立法及其法理变迁进行评述。 第二部分在对我国现行商业银行破产立法及其缺陷进行评述的同时，探讨我国商业银行破产应选的立法模式。 第三部分论述我国商业银行破产的预防措施，以完善商业银行破产配套立法。 第四部分主要针对我国商业银行破产制度的特殊构建进行讨论，希望籍此建立我国商业银行破产制度。更多还原

【Abstract】 Commercial Bank, serving as the special juridical person who deals in legal lenders, has to follow the general market law—the good taking the place of the bad. The govemmnet has been overbearing the massive loss brought by the imperfect management of the banking organiztion for a long time for the lack of the foundation of bankruptcy of Commercial Bank. which is the same with the ordinary regulations involved with business bankruptcy in the bankruptcy and the code of civil law. With China’s entry into WTO, the risk of a bank’s bankruptcy is becoming more and more pressing. Hence it is necessary to form the legal bankruptcy.The scope of the article covers the following four aspects:The first chapter deals with the necessity of bankruptcy of Commercial Bank, the constitutive equation of which is based on the development of the international bankruptcy of Commercial Bank.The primary objective of the second chapter is to determine the present legal bankruptcy of Commercial Bank in China and its disadvantages and aim at examing the practical legal pattern to be used in China.The third chapter concentrates on the precautionary measures of bankruptcy of Commercial Bank in China and on how to perfect the legislation.The fourth chapter seeks to analyse the speciality of bankruptcy of Commercial Bank in China and hopes to form the legal bankruptcy of our own.更多还原
