【摘要】 构建独立董事制度，完善公司治理结构，已成为目前公司法研讨的热点问题之一。如何促使其正确实施，以消除不规范实施独立董事制度过程中出现的种种问题，是当前经济界、法学界的重要研究课题。本文立足经济法的基本理论，运用比较法、经济法、历史学、规范分析和实证研究相结合等方法，对独立董事制度的基础理论、我国实施独立董事制度过程中出现的问题及相关国际经验进行了较为深入的研究，以求独立董事制度的法学理论体系和立法体系的完善。 全文分为三个部分：第一部分考察了我国独立董事制度现状，介绍了独立董事制度在国内外的发展，我国关于独立董事的现有规定及其存在的问题，第二部分国外独立董事制度综述比较与借鉴，介绍分析了国外独立董事的独立性规定、资格、任免制度、薪酬制度；第三部分结合我国实际，阐述了我国完善独立董事法律制度的原则及若干具体思考，以期促进独立董事制度在我国的规范实施。更多还原

【Abstract】 Setting up the independent director system and perfecting the management structure of company is one of the hot issues of discussing in company law currently. How to carry out the independent director system correctly so as to eliminate various problems arising from the unregularized implementation of independent director system remains the important research topic in today’s economics and jurisprudence circles. By adpoting many methodologies including comparative law、economics、 history、norm analysis and positive research ,the thesis ,which lays itself on the basic theory ,makes a thorough study on the following issues :The fundamental theory of independent director system ,problems in the process of independent director system implementation in China as well as relevant international experience with a view to perfecting the jurisprudence theory an legislation of independent director system.This thesis comprises of three parts .Part one investigates the present condition of the independent board director system in our country , introduces the development of it in the domestic and international , the present provision of it in our country and the existing problems .The foreign independent board director system is overviewed and compared in part two,which introduces and analyzes the更多还原
