【摘要】 在现代公司治理结构中,起最关键作用的是董事会,董事会是公司治理的核心。我国国有企业改革一直是理论界和政府共同关注的一个重要议题,建立现代企业制度是国企改革尤其是大型国有企业改革的关键,而现代公司治理结构的核心问题就是建立一个规范的、高质量的、有效率的公司董事会。本论文围绕现代公司董事会建设及运行效率问题,运用比较分析法和规范分析法,首先从现代公司董事会的内涵与运行机制入手,分析我国大型国有企业董事会的现状和存在的问题,再借鉴国外成功经验,提出我国大型国有企业董事会建设、发挥董事会作用和提高董事会运行效率的措施。本文主题部分由五个部分组成:前言部分引出了董事会治理,并指出董事会治理研究的必要性和意义,同时概括了本文研究的内容和方法。第一部分对董事会治理进行理论综述,概括了董事会治理的相关理论,并从我国董事会国资委之间的关系入手提出了我国董事会治理问题。第二部分专门对董事会不可或缺的角色——独立董事进行了论述,通过对独立董事的产生、功能、作用、职责、工作方式的分析,揭示了独立董事在董事会治理中的重要作用。第三部分是董事会治理的国际借鉴,通过三种国际模式的比较、分析和评价,提出了对我国董事会治理的启示和借鉴。第四部分是我国大型国有企业董事会治理问题及现状,该部分从组织结构建设、决策机制建设和董事会独立性三方面,分析了我国大型国有企业董事会治理存在的问题。第五部分是我国大型国有企业董事会治理的基本思路和对策建议,从完善董事会治理结构和运作入手,增强董事会独立性,避免“空壳化”,并提出借助资本市场促进董事会建设。更多还原

【Abstract】 The board of directors is the key and core of modern company governance. The reform of the state-owned business enterprise is an important subject that the theories fields pay attention to together with government. And to establish the modern business enterprise system have been key of state-owned enterprise, particularly for the large. And the core problem of modern company governance is to establish a board of directors with high quantity and efficiency.The body of the article Is divided into five parts:Foreword part raises the board of directors managing, and point out the necessity and the meaning of the research of the board of directors managing. At the same time it generalizes the contents and the method in this textThe first part introduces the theories overview to the board of directors, generalizing the related theories of that board of directors managing, and put forward board of directors managing in our country.The second part explores the independent director for its role in the board, giving the analysis of the origin, function, development, job, working methods of the independent director, announced the important function in board of directors managing.The third part is the international comparison of the board of directors managing , and draw lessons from it. This part analysis and evaluate three kinds of international modes, putting forward to lessons to manage board of directors in our country.The fourth part explains the problems and present conditions which our country faces from organization construction, decision mechanism and the independence of board of directors.更多还原
