国有企业资本结构与公司治理的研究

【摘要】 资本结构理论是现代财务理论的重要理论之一，它经过五十多年的发展，形成了各种理论与学派。20世纪70年代，不对称信息理论的引入，是现代资本结构理论的一大飞跃，人们对资本结构理论研究的重点开始转移到对公司治理效应的研究上来，从而将公司的资本结构与公司治理结构有机地联系起来，取得了丰富的研究成果。目前国内外的学者普遍认同的观点是：在既定的制度框架下，资本结构是公司治理的基础和依据，公司治理结构是资本结构的体现和反映；资本结构的选择在很大程度上决定着公司治理效率的高低。 当前我国正处于经济体制的转轨时期，随着国有企业改革的逐步深入和发展暴露出了许多问题。高负债是我国国有企业的一个普遍现象，且负债绝大部分来自国有银行，由于国有企业与国有银行的传统关系及债券融资比重低的状况，导致负债的约束机制得不到发挥；国有企业股权结构不合理，国有股一股独大，且不可流通，导致了国有企业严重的内部人控制问题和经理人员报酬激励的不足。针对这些问题，本文通过分析资本结构与公司治理二者之间的关系，提出了优化资本结构、完善公司治理的方案。 本文共分为四部分： 第一部分：“引言”。分析了我国国有企业股权治理失效与债权治理失效的根源在于国有企业“畸形”的资本结构，由此，提出了以资本结构的优化为切入点，来完善国有企业的治理结构。 第二章：“有关资本结构与公司治理的文献综述”。系统整理了国内外学者对资本结构与公司治理研究的文献。 第三章：“资本结构与公司治理之间的关系”。首先界定了资本结构和公司治理的概念；然后，分三个层次论述了资本结构与公司治理二者之间的关系：股权债权比与公司治理的关系、股权结构与公司治理的关系、债权结构与公司治理的关系。这一部分的理论介绍为下一部分方案的提出做好了铺垫。 第四章：“我国国有企业优化资本结构与完善公司治理的探讨”。本部分以更多还原

【Abstract】 Theory of capital structure is one of the most important modern theories of finance. In the seventies of twentieth century, the attention to study on theories of capital structure has been paid to its efficiency on corporate governance. These studies related the capital structure to the governance structure and attained a lot of research achievement. Nowadays, the common argument accepted by domestic and foreign scholars is that: under the existed institution framework, capital structure is the base and principle of corporate governance.Our country is in the period of economic transition and many problems came out with the reform proceeding of stated-owned companies. It is an ordinary phenomenon that the stated-owned companies are in highly debt and the majority of whose creditor is state-owned bank. The traditional relationship between state-owned companies and banks, as well as small proportion of corporate bond financing, leads to failure of constraint mechanism of debt. The state-owned stock is too big in proportion that leads to serious problems of insider control and deficient motivation to managers. Based on the current situation, this paper analyzed the relationship between capital structure and governance structure and proposed the plans to perfect capital structure and governance structure. This article consists of four parts:The first part analyzed the present situation of corporate governance and proposed that we should perfect the capital structure to improve the governance structure of the state-owned company.The second part is the theory summary of the related capital structure and corporate governance.
