公司股权信托法律问题研究

【摘要】 公司股权信托指以公司股权为信托财产而设定的信托。它是通过信托的方式来享有和行使股权的一种设计，是信托制度在公司领域的延伸与创新。公司股权信托的本质是一种信托，要遵守信托的基本法观念，同时也是公司控制权集中的途径。这一制度产生于英美法系的美国，后被一些大陆法系国家引入。我国实践中已从多角度应用这一制度。 公司股权信托的法律构造不同于股权代理行使、股权委托管理、隐名出资、股东投票合同等我国现有的股权间接行使机制。股权信托制度在公司法领域能够发挥诸多的积极功能，包括确保公司管理的安定与持续，保障债权人贷款的偿还，从而协助公司的重整，防止公司被其他竞争公司敌意收购，保障中小股东的利益等。为使公司法律制度能够良性有效运行，我国有必要引入股权信托制度。 股权是由财产性权利和非财产性权利构成的权利束。依据股东权自由转让的原则，股东有权将其股份(包括其中蕴含的表决权)出卖于他人。因此，股权可以作为信托财产设定股权信托。但必须以股权之各项具体权利内容的整体作为信托财产而设定信托，单纯的表决权不能与财产性权利分离而单独成为信托财产。 公司股权信托的设立首先需要有股权信托契约的成立和生效，该契约的内容必须能表明原股权人创立股权信托的意思，并明确划定作为信托财产的股权的范围，确定信托受益人范围和受益人的受益范围。委托人还必须履行因股权信托合同而负担的转让信托股权给受托人的义务，完成转让，股权信托即成立。但需经股权信托公示，方可更多还原

【Abstract】 Shareholder’s right trust is a kind of trust in which the fiduciary property is shareholder’s right, so it follows all the principle’s of trust law. Tt is a system through which the shareholder can enjoy and exercise his right and is an innovational use of trust in corporate field. The significance of shareholder’s right trust is to centralize the power of control to the corporation. This legal system originated from American corporate law. Later it was transplanted by several countries which belong to the Roman Law system. It has already been used in many ways in China.The legal structure of shareholder’s right trust is different from other systems for the shareholder to exercise his right indirectly such as proxy, commission, anonymous shareholder and shareholder voting agreements. It has a lot of functions in the corporate field: (A) to ensure the stabilization and continuance of corporate management, (B) to guarantee the repayment of the creditor’s loan so as to help to reorganize the corporation, (C) to prevent the corporation from being hostilely purchased by competing companies, (D) to safeguard the interest of minor shareholders.
