【摘要】 中国的证券市场日益低迷，股市人气屡创新低的情况下，作为主体的上市公司的表现不佳是其中的主要因素。而上市公司治理结构的不健全更是其决定因素。在上市公司丑闻不断的今天，如何重整公司在市场中的信心成了当今诸多人士的努力方向。中国公司应建立什么样的治理结构或制度才会避免出现今天市场中随处可见的问题，没有人能给以肯定的回答。但没有人回避问题，许多人都在努力寻求解决问题之道，包括政府、专家学者及企业家。中国则在2005年10月27日修改通过了公司法。可以看出唯有一套可行的或不断完善的制度体系供给，才能会在市场竞争中把企业利润最大化和公司的社会责任相平衡。这是由公司内部治理制度和外部治理制度建设相结合的结果。而在当今中国缺乏诚信的社会环境中外部的制度建设的提供尤其重要。总之一点就是完善公司治理制度建设非一日之功，但却又是不能不面对的问题。 本文正是立足于中国公司治理结构中所存在的法律缺陷结合国内外实际情况，并在比较国际社会提出的各种对策和方案的基础上，尝试对我国公司治理制度建设的相关法律问题提出自己的解决对策，以求能对我国相关问题的研究和公司治理结构的制度建设提供一点借鉴。 本文按照提出问题、分析问题以及解决问题的思路进行总体框架的安排，前后围绕着公司治理制度法律问题的理论与实践这一主线展开。首先介绍了中国公司治理制度建设中存在的一些基本问题。中国公司存在的问题大有带有中国特点，这是中国在走向市场经济中不可避免出现的问题。这是中国经济基础与上层建筑配套改革过程中出现偏差的结果。无论是学习哪一个国家的市场也无论是采用什么办法学习到什么程度，了解自己和熟悉别人都同样重要。在对公司治理制度出现的问题进行法哲学分析后，又对其他发达市场经济中的治理体制进行了简单的借鉴分析，他山之石可以攻玉，依据中国市更多还原
