【摘要】 本文通过对保荐代表人的法律地位、行为、行为后果及管理制度进行比较研究,对现行法律规定做出分析,提出自己的建议。 全文分为三个部分,第一部分由第一章构成,该部分从整体上阐述了保荐代表人的影响,主要是对发行制度和监管制度的影响。通过提高保荐代表人在保荐工作中的法定责任为实施股票发行注册制创造条件。通过提高保荐代表人在保荐工作中的法定责任建立市场力量对证券市场的约束机制。 第二部分由第二、三、四、五章组成,该部分对我国保荐代表人制度作了具体分析。其中第二章为保荐代表人行为研究。本章首先对保荐代表人的法律地位进行了研究,选择了律师和律师事务所、证券从业人员和证券公司作比较研究,说明在保荐制度中保荐代表人是独立的责任主体,具有独立的法律地位。在得出保荐代表人是独立的主体的结论后,对保荐代表人的行为进行了分析,作者认为保荐代表人的行为从根本上说仍然是职务行为。 第三章分析了我国的保荐代表人管理制度。具体分析了我国保荐代表人的资格条件,对保荐代表人的注册登记和资格公示制度做出了评述,得出结论保荐代表人管理制度的核心是信用监管。 第四章分析了保荐代表人责任。该部分统计了保荐制度实施以来至2005年2月保荐代表人遭受中国证监会处罚的所有案例。分析了保荐代表人的刑事责任、行政责任和民事责任,重点放在民事责任的阐述上。我国《保荐办法》并未对保荐代表人的民事赔偿责任做出相关规定,作者认为保荐代表人对第三人的侵权损害应当承担赔偿责任。更多还原

【Abstract】 In this thesis, the author studied the legal status, the acts and consequence, the management system of the representative of sponsor’ s system in securities business by comparison, analyzed the statute currently in effect in China, and then put forward her own suggestions.The disquisition was divided into three parts. The first part expounded the effects of the representative of sponsor’ s system in securities business in general, mostly in the aspects of issuance and management system.The second part analyzed the representative of sponsor’ s system in securities business in detail, mostly in the aspects of the acts, liabilities. In Chapter 2, the author studied the legal status and analyzed the acts of the representative of sponsor by comparison. In Chapter 3, the author analyzed management system of the representative of sponsor. What the stock market manage and supervise is honesty. In Chapter 4, the author analyzed the liabilities of the representative of sponsor . In Chapter 5 ,the author studied the cold shoulder ,the special liabilities of the representative of sponsor.The third part deals with the feasibility and the perfect advice of the representative of commend and guarantee system in securities business.更多还原
