【摘要】 从世界各国经济发展的历史进程来看,中小企业对一个国家的经济增长历来都发挥着不可替代的作用,而中小企业的组织方式对于其发展具有重要影响。随着我国改革的不断深入,计划经济向市场经济的转型幅度和速度越来越快,市场机制配置资源的范围不断扩大。我国现有的中小企业组织形式体系带有浓重的计划经济和行政干预色彩,在市场化程度不断提高的过渡时期,已不能适应形势发展的需要。其存在的数量畸多、法律基础混乱、设立主体和企业主体待遇差异等诸多弊端越来越成为其发展的体制性障碍,进而影响国民经济持续、健康、稳定的增长。同时,市场经济是法治经济,这就要求在法制框架下重新构建我国中小企业的组织体系。 本文从促进我国中小企业全面发展的背景出发,对我国中小企业组织形式体系进行了深入研究。 本文首先论述了世界主要发达国家(地区)中小企业的划分标准和我国中小企业的最新划分标准,并对企业组织形式的定义做了明确的界定;之后,阐述了中小企业组织形式的理论基础,回顾了中小企业组织形式的历史渊源和发展进程,阐明了中小企业组织形式体系法律基础的性质和特点;随后,对世界主要发达国家现有的中小企业组织形式进行了比较研究,归纳和总结出对我国有着重要借鉴和参考意义的国际间通用中小企业组织形式体系;再后,本文论述了我国中小企业的组织形式体系的现状和存在的问题,运用定量和定性相结合的方法,分析了问题的成因,论证了我国中小企业组织形式体系进行改革的必要性。通过以上的调查研究,本文阐明了改革我国中小企业组织形式体系的原则,并在上述原则的基础上,提出了在社会主义市场经济条件下建立科学、合理、完善、具有中国特色、符合中国国情的中小企业组织形式体系的具体方案。最后,本文就研究的结论进行了总结。更多还原

【Abstract】 According to the process and history of the development of Small and medium-sized enterprises (SME) in the country all over the world, SME always play a essential role in the growth of economy of a country. The forms of SME have important bearing to it. In China, along with the unceasing deepening of reform, the transformation from planned economy to market economy achieve more and more, the scope of market mechanism distributing the resources enlarges continuously. The existing forms of SME accompany with strong hue of planned economy, in the transition period from planned economy to market economy, already could not keep up the pace of situation. Its drawbacks, just like amount is excessive> its fundamentals of law is jumbled、 investor and SME enjoy different treatment etc, has become the institutional impediment to the development of SME, whereupon hamper the sustaining、 steady and sound inereasement of economy. Meanwhile, market economy is a nomocracy market, it requires us to build the forms of SME under the framework of legal system.From the background of promoting the development of SME, this text made a embedded research of the forms of it.At first, This text dissertate the standard of SME of main developed country and the latest standard in china , and define the concept of "forms" clearly. Later, expound the theoretical basis of the forms of SME, review the historical origins developing process of it, set forth the property and trait of legal fundamentals. Whereafter, made a tradeoff studies among main developed countries, summarize the forms of SME in common use internationally. Still later, this text dissertate the actuality and problem of the forms of SME in china, analyse the cause of it by qualitative analysis and quantitative analysis, dissertate the necessity of the reform of it. Via these investigation and research, thistext elucidate the principle of reforming the forms of SME in china, and put forward the concrete scheme of establishing the forms of SME that is scientific logical, sound.
