【摘要】 1978年党的十一届三中全会后,我国开始了一场深刻的经济体制改革,到现在为此,国家的经济体制已经基本从计划经济体制转向市场经济体制,并且逐步走向调整和完善阶段。其中国有企业的改革是建立市场经济体制的中心环节,而国有企业改革的目标是建立现代企业制度,建立现代企业制度的关键是有效的公司治理。 我国国有企业的治理环境,是置于社会主义政治体制下。在研究国有企业公司治理时,这是一个最基本的、不容忽视的环境因素。经济基础决定上层建筑,上层建筑必须与经济基础相适应,是马克思主义唯物史观的基本原理。社会主义在实现与市场经济相融合的过程中,一方面要利用市场高效率配置资源和快速实现经济发展的一面,另一方面要克服市场经济的弊端,将市场经济制度建立在社会主义的公正、民主、自由、共同富裕等原则之上。社会主义市场经济的本质是人民市场经济,不是官僚经济和命令经济,而是人民真正当家作主的经济形式,是人民群众参与市场经济活动创造财富,实现共同富裕的经济制度。党的十六届四中全会明确提出的一个奋斗目标就是建立“社会主义和谐社会”,这也就意味着我们的国家与党的目标是要把错综复杂的利益关系处理妥当。国有企业正是实现党与国家治理目标的重点。因此我们在试图解决国有企业深层次的问题时,在试图构建有效的国有企业公司治理结构时,必须将我们的政治体制纳入考察的范围。在从计划体制向市场经济体制转轨的大变革时期,中国共产党对国家和社会的领导与组织,具有极为重要的意义。从党提出建立“社会主义和谐社会”中,我们可以解读出,过去坚持“效率优先,兼顾公平”的原则,现在以胡锦涛为首的党的新一届政府正在向效率与公平原则并重的方向转变。这种经济体制的环境就决定了我国国有企业在构建与之相适应的公司治理结构时,要兼顾市场经济的特点,还要考虑社会主义制度的独特要求,要与时俱进,因此我们提出了在国有企业尤其是关乎国计民生的中央企业中构建嵌入党建的公司治理结构。 将党建嵌入企业公司治理结构中的重要前提是党建在企业中的工作总目标与企业发展的总体目标是一致的。嵌入党建的公司治理结构的特点是在传统公司治理结构中嵌入了党建更多还原

【Abstract】 After the Third Session of the Eleventh Central Committee of the Party in 1998, our country started a deep economic system reform. Up to now, the national economic system has approximately changed from planning economy system into market economy system, and is increasingly heading for adjustment and perfection. In the process the reformation of state-owned enterprises is the center for establishing market economy system, while the aim of reforming the state-owned enterprise is to establish modern enterprise system and the key to establish modern business enterprise lies in valid corporate governance.The environment for state-owned enterprise governance in our country is under socialism political system. This is the most basic and important factor when studying the state-owned enterprise corporate governance. "Economic foundation determines superstructure and superstructure must go on with economic foundation" is the basic principle of Marxist historical materialism. When we merge market economy with socialism, we should on one side make use of high-efficiency of market economy in arranging resources and developing economy, and should on the other hand overcome irregularity of the market economy to establish market economy system under the following principles of socialism such as justice, democracy, freedom and common wealthy etc. The essence of socialist market economy is not bureaucratic economy and commanding economy. It is a market economy of the people and an economic system under which people take charge of economic activities to create wealth and realize common wealthy. The Forth Session of the Sixteenth Central Committee of the party points out a target that is harmonious society with socialism. It means the aim of our country and party is well deal with the complex relationship. So state-owned enterprises is emphasis. We must put political system into consideration when we’lltry to solve the deep problem and construct the effective construction of corporation govern of state-owned enterprises. During the revolution from planned economy to market economy, the Communist Party of China has a important role in country and society. We know from "harmonious society with socialism" that the principle of giving priority to efficiency with due consideration to fairness must be observed during the past time. Now, the new government is changing into lay equal stress on efficiency and fairness. The environment of this economic system determines to think about the special of socialist system as the feature of market economy when constructs the corporation governance in state-owned enterprises. We point out put policy building into state-owned enterprises’ construction as follow.The characteristic of corporate governance being inlaid with party building is the embedding of party building elements in traditional corporate governance. In this approach, Party’s restrainting effect is added to governance mechanisms. By utilizing party spirit or lofty moral standards of party members and their unique ideological level of taking no account of personal interests and serve people wholeheartedly, the restrainting effect will be long-term.Thus, there is no need to excessively worry about the influence of market short sight in market-oriented American-British pattern; from a certain extend, the corporate governance being inlaid with party building remedies the common defect problem of market system regulation in organizational/dominating-oriented Germany-Japanese pattern so as to efficiently solve tract problem and be the corporate governance more advanced than the above two mentioned patterns.Undoubtedly, corporate governance being inlaid with party building will be the most efficient corporate governance for China’s state-owned enterprises/in which decision mechanism, inspection mechanism and incentive mechanism integrate to form its operating system. The vital premise of corporate governance being inlaid with party building is the consistence between the general working goals of party building in enterprises and the general goal of enterprise development .The embedding of party building in decision mechanism is completed by the combination of secretary of the party committee and board chairman; the embedding of party building in inspection mechanism is realized by the direct intervention of party working committee in the work of board of supervisors; The embedding of party更多还原
