【摘要】 在发达国家，管理层收购自20世纪80年代以来发展非常迅速。从国内来看，管理层收购的发展只有短短几年的时间，仍处于初始阶段。发达国家的经验表明，管理层收购在激励经营者的积极性、降低代理成本、改善企业经营状况等方面，起到了积极作用。而在我国，管理层收购不仅是建立企业内部有效的激励约束机制、改善企业经营状况的一项有效措施，而且是国有资本逐步从一般竞争性行业退出、促进国有经济战略性调整的一个有效途径。 本论文回顾了中外管理层收购的发展历史，从多方面进行了深入的对比分析，在理论上对管理层收购在我国企业产权改革、企业家激励和行为约束及资本市场发展中的作用进行研究，并从收购定价、资金来源、运作风险、配套因素及法律缺陷等方面对我国管理层收购中存在的问题进行分析，以发达国家的经验为基础，结合我国实际提出其发展对策。更多还原

【Abstract】 MBO has been developing quickly in western countries since 1980s. But in China,with only several years of developmental history,it is still in a primary era.The experiences of western MBO show that MBO has active effects in motivating managers’ positivity and reducing the substitutive costs. In China,MBO is not only an effective method to form the inspiriting and restriction mechanism, but also a resultful way to promote the strategic adjustment of the state economy.This dissertation looks back on the developmental history of MBO in China and western countries and makes contrastive analysis from several aspects.It also studies the effects of MBO on the reform of property right and the inspiriting of entrepreneurs and the development of the capital market,then discusses the problems in the development of MBO in China.On the basis of that,this dissertation raises developmental countermeasures of MBO in China.更多还原
