跨国公司在华并购行为研究

【摘要】 随着投资环境的不断优化，越来越多的跨国公司将我国视为竞争的重要场所。跨国公司在华直接投资的发展与我国经济体制的改革密切相关，近年来，我国利用外资政策的一个重大突破是吸引外商，特别是吸引跨国公司来华从事并购投资，参与国有企业的改革。在该政策的引导下，以并购方式吸引跨国公司投资的势头将在我国彻底展开。本文从这个角度入手，运用大量统计数据，分析了促进跨国并购发展的动因，以及跨国公司在华并购对我国市场结构、国有企业改革、国家经济安全等方面产生的影响。在经济全球化的背景下，我国要提高利用外资的质量和水平，使企业获得更广阔的生存空间，就必须对跨国公司在华并购实施监管，提高企业的竞争实力，在利用跨国公司并购投资中实现趋利避害。更多还原

【Abstract】 The opening of China’s economy to foreign investors and the reforms that have swept the nation have added tremendous impetus to the optimization of its investment environment. Now more than ever, large-scale transnational corporations regard China as one of the most important destinations for competitive corporate development. Expectedly, the increase in transnational corporations’ direct investment in China is closely tied to China’s economic reforms. By allowing mergers and acquisitions of transnational corporations in China and encouraging the participation of foreign businesses in the reform of China’s ailing state-owned enterprises, China has adopted policies to boost the inflow of foreign capital. This increase in cross-border mergers and acquisitions will exert a profound influence on China’s macro economy, including its market structure, the reform of its state-owned enterprises, and its long-term economic stability.This paper examines and analyzes the motives behind cross-border mergers and acquisitions, the aspects of international and domestic environment that have thus attracted foreign investment, and the characteristics of mergers and acquisitions carried out by transnational corporations in China. In accordance with the analysis herein, the author puts forth certain guidance for economic policies as well as reform measures aimed to exploit the benefits of increased M& A activities in China’s new economic environment.更多还原
