中国轻骑集团资产重组研究

【摘要】 从2000年开始就一直成为众人瞩目焦点的轻骑集团，在2001年11月公布与印尼的韩氏财团合作，争取尽快解决集团和上市公司资金不足、扩张过速等问题，并借此与国际财团合作之机，重振其摩托车行业龙头企业的雄风，最终成为具有竞争力的跨国性集团。目前集团的资产重组工作已经启动，并按照预定的目标推进。从集团2001年业绩及股市情况看，轻骑集团的良好发展前景已经增强了人们对轻骑的信心，接下来的实质性合作的具体措施是万众期待，更是轻骑集团重整旗鼓的关键一步。本文先论述了资产重组的定义和内涵，资产重组的原则和意义，以及资产重组的类型和实现形式，从理论上论证了轻骑与跨国集团韩氏企业合作的可行性。同时，分析了此次实质性资产重组各方背景及现状，三方合作在资金、技术、管理、开发项目和发展前景上的优势互补和互惠互利，以及合作在各个层面上的可行性。本文并进一步具体地提出了合作的基本思路和方法，从对集团业绩、财务质量方面的影响，对地区经济发展的促进，以及对韩氏集团新的投资机会的获得，从各方面论述了此次轻骑以向印尼韩氏集团增发B股的形式完成与国际财团合作，对合作各方都是具有战略性的和优势互补的。更多还原

【Abstract】 Having attracted nationwide attention for two years Qingqi Group had decided to cooperate with Indonesian Hanshi Grope in 2001 to solve the problems of capital shortage and over-expansion. Qingqi Grope wants not only to restore the leading role in motorcycle industry but also to turn into a successful international grope taking the advantage of this cooperation. Looked from Qingqi’ s increasing achievement reported and stock price in securities market we can trust the success possibility of this cooperation. The paper takes up the definition,content,significance,types and methods for the reorganization of assets that proves the success possibility of the cooperation firstly in theory. Then analyses the backgrounds and conditions of all cooperators concerned and analyses the advantages for all in capital technology management and development on a mutually beneficial basis. The paper also tells the thoughts and procedures of the reorganization. It discusses that the reorganization brings great advances to Qingqi Grope by funds and management supporting,the operation promotes the employment and economic development of Shan Dong Province,and the union gives a good investing project to Hanshi Grope. The paper says that issuing stocks to Hanshi Grope is the best way that leading Qingqi to extricate herself from a predicament. And the cooperation is a strategic plan for all parts.更多还原
