【摘要】 进入20世纪末，世界范围的并购风起云涌。随着我国加入世界贸易组织(WTO)，国内制药企业该怎样通过合并来实现集约化发展，是我国迫切需要研究的课题。通过对企业不断兼并的原因进行深入研究得出：效率、扩大市场份额、节税、代理、政府推动等购并动机。不断兼并这是企业发展的必然趋势。制药企业兼并的原因又有新药开发日益昂贵的费用，技术的投入太大等行业的因素。进行了对中国医药行业兼并重组关于评估企业的竞争力、企业的战术选择、选择合并伙伴和兼并目标考虑、合并和兼并操作的原则等战略与战术研究，并提出国家对跨国医药公司的政策建议及对政府关于行业的宏观政策建议。更多还原

【Abstract】 At the end of 20th century, more & more enterprises are merging throughout the world. As China is joining the WTO, it is necessary to research into how the pharmaceutical enterprises develop into be intensified by means of merging. After making a thorough investigation & study, the present paper firstly summarizes that the main reasons of merging are as follows: efficiency, expansion of market shares, fax reduction, agent-acting, stimulation from government As me know, merging is the inevitable trend for enterprises’ development Then the paper focus on the merger in pharmaceutical enterprises & points out besides the above-mentioned reasons, more factors such as the expensive expense in developing new pharmaceutical product involve in merging of pharmaceutical enterprises. Based on probing the evaluation of enterprises’ competitive power, selection of enterprises’ tactics & merging partners, consideration of aim & operating principles in merging, the paper finally proposes some government policy towards transnational pharmaceutical corporations.更多还原
