公司机关制度的完善与中小股东权益保护研究

【摘要】 广大中小股东是股份有限公司的基石。中小股东权益保护对我国股份有限公司持续、健康发展具有重要的意义。 中小股东权益的实现要靠制度来保障。公司机关制度的不完善是造成当前我国中小股东权益屡受侵犯的原因之一。 要有效地保护中小股东权益，必须完善我国公司机关制度。包括： （1）完善股东大会召集制度、投票制度、决议制度，克服股东大会形成化的弊端，确保中小股东能够通过股东大会伸张自己的意志，维护自己的权益。 （2）完善董事会组织制度、董事义务及责任制度，预防经营者权力的滥用，促使其致力于增进公司和中小股东的利益。 （3）完善监事会组织制度、强化监事会的职权与职责，改变监事会监督不力的局面，提高监事会监督制约董事会、保护中小股东权益的能力。更多还原
