【摘要】 公司重整制度是继破产制度与和解制度之后产生的一项防止公司企业破产倒闭的重要法律制度，我国现行立法上尚无此制度。本文从我国实际出发，论证中国应建立公司重整制度，并对中国公司重整制度的理论基础进行了探讨，提出中国公司重整制度应以维护多数社会成员利益、自动自救、精简迅速、公权力干预为基本原则，并认为公平正义、效率、促进发展应是中国公司重整制度的价值取向，最后，本文对中国公司重整制度的模式构建提出了自己的想法。更多还原

【Abstract】 Corporate Reorganization is being an important legalsystem to defend the large-lot producer bankruptcy afterthe bankruptcy and compromised system, but, thissystem doesn’t exist in China. According to the actualsituation in China, this thesis demonstrates the necessity of building Corporation Reorganization in China andprobes into the theoretical base on building CorporationReorganization in China. The thesis sets forth theprotection for the most peoples’ benefit, saved by himself,speeding and effectiveness, and interrupting by country-right should be the fundamental principle of ChinaCorporate Reorganization and thinks justice and fair,effectiveness, promoting progress should be the valueorientation of China Corporate Reorganization.
