我国商业秘密法律保护问题之研究

【摘要】 本文通过对国内外商业秘密立法情况的比较与研究，分析我国商业秘密保护制度的成功与不足，理论联系实际，对商业秘密保护的难点与重点进行探讨，并在借鉴国外立法经验的基础上提出了关于制定我国《商业秘密保护法》的设想。全文共分四章和前言、结论，以下作一简要概括。 第一章 商业秘密的概述 笔者首先阐述了商业秘密的产生和发展，指出商业秘密作为一种无形资产古已有之，但是作为商业秘密保护的法律制度则产生于近代西方资本主义国家。通过对国内外的商业秘密概念的比较分析，指出一项商业秘密必须符合非公知性、实用性、价值性、保密性四个要件。商业秘密主要是指技术信息、经营信息。商业秘密是一种财产权，具有财产属性，属于知识产权范畴。最后对商业秘密和专利等进行比较，指出它们的区别与联系。 第二章 商业秘密侵权行为的认定及相关问题探讨 笔者首先指出商业秘密侵权的概念。接着对现实中商业秘密侵权行为进行归类，认为商业秘密侵权行为主要有四类。最后阐述商业秘密侵权的构成。 第三章 商业秘密的法律保护 首先阐述了国内外商业秘密法律保护的理论基础，指出主要有合同理论、破坏信任关系的侵权行为理论、反不正当竞争理论和产权理论。 接着指出商业秘密法律保护主要有专门的商业秘密法、民法、反不正当竞争法、刑法、民事诉讼法等法律。对侵权人可以处以民事制裁，行政制裁和刑事制裁。 为更好地保护商业秘密，笔者接着指出，我国应建立合理的竞业禁止制度，既保证公民的劳动权和择业自由权，又有利于对商业秘密的保护。 商业秘密是私的权益，其取得和行使必须符合公共利益。如果商业秘密与公共利益发生冲突，则应首先维护公共利益。 鉴于商业秘密的特殊性，笔者最后论述了侵犯商业秘密诉讼中举证责任、赔偿计算、保全措施和保密审理等几个特殊问题。 第四章 我国商业秘密保护法律制度的完善 在对前面三章进行研究和分析的基础上，笔者在第四章首先分析我国商业秘密立法的成功与不足，接着阐述了国外商业秘密法律制度的成功经验和借鉴作用，最后在对商业秘密保护的难点和重点进行分析的基础上提出了我国《商业秘密保护法》的大致框架。 本文最后是结论，总结了全文的观点。更多还原

【Abstract】 Through comparatively researching the legislation on business secrets in our country and others, the author analyses the success and drawbacks of Chinese system of protecting business secrets. In this thesis, The author also discusses the importance and difficulties of protecting business secrets, relating the theory with the reality. Referring to the foreign experiences of legislation, the author puts forward the scheme of Chinese law of protecting business secrets. The whole thesis is composed of four chapters except for the preface and conclusion. Chapter One is about general demonstration of business secrets. Chapter Two is concerning the determination of the tort of business secrets and some other relevant issues. Chapter Three deals with the protection of business secret. Chapter Four is centered on the perfection of the legal system of protecting secrets in our country. On the basis of the analysis above, The author demonstrates the success and experiences of protecting business secrets in other countries and then analyses the success and drawbacks of our legislation. After analyzing the difficulties and main points of protecting business secrets, the author puts forward the sketch of law of protecting business secrets in our country. In the conclusion part, the author generalized his main ideas on the protection of business secrets.更多还原
