【摘要】 本文对自然人控股公司的治理特征与绩效进行了实证研究。研究表明:高管持股、两职兼任都与公司绩效显著负相关;总经理(CEO)持股、基金持股与公司绩效显著正相关。而第一大股东的"一股独大",没有对其业绩产生显著的消极影响;股权制衡度、独立董事的治理机制也没有发挥出显著的积极作用。需进一步完善公司治理结构,进而提高公司绩效。更多还原

【Abstract】 This paper conducts an empirical study on governance characteristics and performance in the natural person controlled companies.The results indicate that the shareholding of top managers and Chief Executive Officer(CEO)du- ality have a significant negative correlation with the corporate performance.CEO share-holding and the fund organiza- tion shareholding have a significant positive correlation with the corporate performance.However,the"one big share a- lone"of the first shareholder has not exerted a significant negative correlation with the performance.In addition,stock ownership balance degree and governance mechanism of independent directors do not play a significant positive role. Therefore,we need to enhance the corporate performance by improving the corporate govemance structure.更多还原
