【Abstract】 Proxy contest, as a means of transference of corporate control ,consists a key aspect on modern corporate control market .The present thesis ,centering around the relationship between proxy contest and corporate governance ,gives a brief introduction to the content ?features and reasons of proxy contest,with a special focus in the impact of proxy contest on corporate governance .The thesis ,taking America as an example ,further analyses the evolvement of the status of proxy contest in corporate control market and corporate governance from both theoretical and practical perspectives .The thesis ,in its final analysis ,also points out the need to legalize corporate proxy contest in china.更多还原
