【摘要】 股东会是股份公司的权力机构 ,作为股东行使出资人控制权的会议 ,全体投东都可以而且应该参加。但事实上 ,广大的小股东因受交易成本的阻碍 ,通常不参加股东会。这种小股东缺席股东会的现象会带来一个非常严重的问题 ,即股东会将沦为大股东们的“寡头会” ,使其行为难以受到约束 ,致使大股东侵犯小股东权益的现象层出不穷。但现行的股东委托投票制一方面没有解决好中小股东权益保护问题 ,另一方面还产生出新的弊端 ,所以我们要对现行的股东委托投票制度进行反思 ,并试图提出改革思路。更多还原
