【摘要】 我国从20世纪70年代末开始的经济体制改革,始终将国有企业改革作为中心任务之一。到目前为止,国有控股公司已经成为我国管理国有资产的主要形式,在关键行业和重点领域占有绝对优势,成为我国经济发展和参与国际竞争的主力军。但是,国有控股公司的治理机制在实际运行中还存在诸多问题,一个突出的例子就是国有控股上市公司的大股东和经理人通过违规关联交易对公司资产的“掏空”和中小投资者利益的侵占,这与国有控股公司缺乏有效的内部、外部控制机制,控制权配置与收益不对称有直接关系,对国有控股公司控制权的优化配置,成为国有企业改革成功的关键。控制权的定义最早由管理学提出,但其丰富和发展却是由经济学家完成的,是企业理论研究的钥匙,是公司权利组合中的核心要素。本文在参考国内外学者大量文献后,将历史分析与逻辑分析、规范分析与实证分析相结合,对于公司控制权重新加以界定;考虑国有控股公司的特殊性质,对于目前国有控股公司内部和外部的控制权配置机制加以客观分析,指出其中存在的制度缺陷和现实障碍;并且按照国有控股公司控制权优化配置原则,对于公司内部各利益主体之间和内部存在的博弈关系加以解析,以国有控股上市公司为例,解释外部市场环境对于公司控制权配置的实证影响;进一步阐述了优化国有控股公司控制权配置的制度安排和路径选择。试图从控制权入手解决目前国有控股公司运营存在的问题,为今后的国有企业改革提供理论支持和实际参考。更多还原

【Abstract】 The stock company has recently been accepted by scholars, governors and enterprisers as an effective form in the course of searching the combination of public-owned system and market economic. The stock market in China has developed rapidly in more than decade and the reform in the state-owned enterprises has started on at the same time. The holding company has been the main form to manage state-owned assets and took up the important status in country economy. In the key industries and significant fields, for example petroleum, coal, metallurgy, electric power and communications, the holding company is the absolutely main force. In the following time, this position will not change in China.In total, the establishment of the governance cooperation in holding companies has basically finished. But the control rights, as the core of the rights in the enterprise, is not assigned correctly and normatively. The state shareholders and managers of the listed company tuned the assets by the lots of unlawful related transactions and break into the benefits of the minority in the practice in China, just reflecting this phenomenon. The lack of effective inner and outsider control mechanism in the holding companies has been one of the most difficult problems in the reform to the state owned enterprises and will be the key to the normal governance corporation in holding companies.Although the research to the holding company and the assignment of the control rights has been done a lot, the integration of two conceptions was not paid attention to.
