【摘要】 20世纪90年代,随着改革的不断深化,中国企业尤其是股份制企业迅速成长壮大,但同时也存在诸多问题。经过一年多的实地考查,以问卷等形式对31家股份公司进行详细调查,并对采样数据运用SPSS分析软件进行因子分析。文章采用实证分析的方法,运用制度经济学、公司治理的有关理论,揭示了中国股份公司的经营组织结构,以及独立董事制度中存在多家兼任、年龄过大、信息披露及报酬来源不明等问题,并提出建立行业协会、推行网上股东大会等具体建议,以改善企业经营组织结构,提高企业经营绩效,促进中国经济发展。更多还原

【Abstract】 In 1990s,with the reform increasingly deepening,the Chinese stock-company-typed enterprise rapidly growed in strength,but simultaneously many problems arose.After on-the-spot investigation for more than a year,the close investigation to 31 joint-stock companies,was made in the form of questionnaires and the factor analysis to the sampling data was made by using SPSS analysis software.This article,with the empirical analysis method and the related theories of the system economics and the company governance,reveals the operation structure of China Stock-company-typed enterprises,and many problems in the independent trustee system such as the trustee holding concurrent posts,being overage and the unclear information disclosure and the reward sources,and offers the concrete proposal to establish profession association,carry out on line general meeting of shareholders and so on,to improve the enterprise operation structure and promote the management achievement of enterprises and promotes the Chinese economy development.更多还原
