【摘要】 MBO被引入中国以后,主要是为了解决国有资产退出和民营企业产权清晰的问题,文中论述了中英MBO的发展,并从收购动机、收购主体、融资方式、定价模式以及中介机构作用方面进行比较,从而得出要完善我国MBO的运作模式首先应该从制定合理收购价格、完善金融市场以及确保收购主体的独立性做起。更多还原

【Abstract】 MBO has been given special missions:establishing the withdrawing mechanism of state-owned capital and cleaning in meaning the PR of private and so on since being introduced into our country.In this paper,a comprehensive and systemic analysis on MBO in China and England is presented from the following aspects:the motions of buy-outs,the objects of buy-outs,the financing system of buy-out and the pricing methods of buy-outs,and their out differences are found out.Then some counterplans are given,which include:making the right pricing methods,improving the financing market and defining the objects of buy-outs.更多还原
