【摘要】 独立董事制度产生于以美国为代表的单轨制公司治理模式的国家,是完善公司治理结构的一项重要举措。我国自2001年在上市公司中引入独立董事制度,但由于政治、经济、文化、法律等不同,存在适应性问题。文章就独立董事制度在我国的适应性问题进行了探讨,认为只有从完善公司治理结构入手,理顺监事会与独立董事的关系,调整公司股权结构,完善独立董事遴选程序,健全绩效评价和激励约束机制,才能解决独立董事制度在我国的适应性问题。更多还原

【Abstract】 The Independent Director Regime origins from USA,which is an important measure to perfect the corporate governance.China built up the regime in 2001,but because of the differences between China and USA,the regime’s operation is not so successful up to now,and there exists many problems of adaptability.Here we study the issues of the independent director regime’ adaptability in China and give some advices.Our viewpoints are as follows:Only by perfecting the corporate governance,harmonizing the relationship between the independent directors and the board of supervisors,by adjusting stock share of the listed companies,by perfecting the independent directors’ selection procedure and merit system,can we find out an adaptive supervision regime in China.更多还原
