论股东大会表决权的代理和征集

【摘要】 允许股东将表决权委托给他人代理行使是世界各国立法的通例,但代理人应当具备一定的资格,且被代理的股东人数和表决权数量应有一定限制；现代公司立法一般允许公司和股东向其他股东征集表决权,但表决权不应成为单独买卖的标的。我国公司立法的相关规定还有不尽人意之处,应在征集的分类规范、信息披露等方面予以强化。本文对于我国相关立法的完善具有促进作用。更多还原

【Abstract】 To allow stockholders to entrust others with voting rights,the general rule of national legislation in the world. But the agent must have qualification,and the number of agent-stockholders and the voting rights should be limited.Vot- ing rights shouldn’t become object of buying and selling.The relative regulation of company legislation isn’t perfect and should strengthen classified regulation and announce of information.The paper has promoting role in perfecting our legisla- tion.更多还原
