【Abstract】 The power of modern company has been shifted from the shareholders to the director board. In fact it is the representative directors that exercise the power. Since the representative directors have a certain control on the company, they should bear corresponding duty. When the representative directors make damages to the company as well as the third party, they should bear the duty of compensation for damages. The company law of our county should learn from the Anglo-American legal system to perfect our company system.更多还原
