【摘要】 公司法人治理结构有法学和经济学两个层面的含义。借鉴和比较美国、德国、日本的公司法人治理结构模式 ,目前中国公司法人治理结构存在六个缺陷 ,究其原因与体制有关。如果要建立规范的公司治理结构 ,就要把公司看成是利益相关者的共同体 ;同时结合宏观和微观方面的四个条件 ,予以综合配置。首先 ,我国公司的股权结构模式应当是以银行和业务上有关联的企业法人持股为核心。其次 ,组织模式主要可以以德国模式为基础进行构造。第三 ,公司治理结构中的经营者调控模式中可创建经理市场 ,采取具体的措施 ,防止经营者频繁流动。第四 ,公司治理结构中的员工模式可向德、日两国学习 ,建立工人董事会制度。最后 ,还必须建立一个发达而完善的外部监督机制。构建中国公司治理结构模式的目的并不是要建立一个未来理想的模式 ,而是一个目前可行的模式更多还原
