【Abstract】 Like the blood in human body, the capital is the central element in a company. Therefore corporate capital system is the centerpiece of company law. China’s corporate capital system is in fact a paper tiger, various legal loopholes make it possible that non-compliance may benefit from doing so which in fact penalizes compliance. What is worse, they severely affect the efficiency of capital utilization and the capitalization of human capital. This paper is designed to analyze the major legal loopholes and put forward relevant suggestions for modernizing and rationalizing it.更多还原
