【摘要】 随着跨国公司并购中国国企政策的出台 ,预示着由市场主导、强强联合式的战略并购将成为今后重要的重组方式。从外资并购的趋势来看 ,我国各个行业的龙头企业将是外资的首猎对象。面对我国加入WTO的承诺 ,国内 5 0 0强企业将首度进入市场化并购 ,外资并购将会产生新的问题 ,主要表现在外资并购的规制、国有资产流失、富余人员的安置、外资并购的整合等 ,如何制定相应措施来化解矛盾 ,对外资实行国民待遇同民族工业平等竞争将是提高国企资产质量和获得可持续发展的关键更多还原

【Abstract】 The new policy of merging China’s state-owned enterprises by multinational corporations indicates that the strategic merger between strong enterprises dominated by market will be an important way of reorganization in the future. From the tendency of foreign merger, the leading enterprises of various lines in China will be the hunting objects by multinational corporations. As per the commitments by Chinese government upon entry in to WTO, the domestic 500 strongest enterprises will first encounter multinational merger. It is noted that new problems such as merger regulation, the loss of state-owned assets, the allocation of surplus employees will occur in the multinational merger. It is a key to work out solutions for the problems with national treatment for the improvement of the quality of state-owned assets and sustained development.更多还原
