【摘要】 本文通过实例和对比分析的方法 ,介绍了美国和我国独立董事制度的运用状况 ,分析了目前我国独立董事制度的不足 ,并就建立和完善我国独立董事制度提出了以下的对策 :加快国有股坚持步伐 ,促使股权分散化 ;明确独立董事的职责与权限 ,不断扩大独立董事在董事会中所占的比例 ;明确独立董事的任免条件和薪酬激励方式 ;搞好对独立董事的监督 ,防治独立董事与内部人勾结。更多还原
