独立董事制度的理性思考

【摘要】主要阐释独立董事的内涵及独立董事制度在我国作用有限的原因。笔者认为在我国不宜强制性推行独立董事制度 ,应强化董事民事责任并建立董事责任保险制度 ,限制董事会中由其他公司高级管理人员担任独立董事的人数 ,建立规范的独立董事提名和选举程序 ,推行独立董事制度的同时 ,强化监事会的监督职能更多还原

【Abstract】 By analyzing why the institution of independent director has produced unsatisfying results in England and America, the article emphasizes the limited roles of the institution of independent director in the corporate governance and the author gives some suggestions about adopting the institution in China.更多还原
