【摘要】 企业产权国有制存在所有权主体缺位、经营者失控的问题 ;股份制存在国有股委托代理成本过高的固有缺陷。无论是股份制改造 ,还是国有资产的授权经营 ,均无力解决此弊端。国有企业产权改革的根本出路在于走二元化模式之路 ,即竞争领域的国有企业产权实行民有化 ,垄断行业的国有企业制度实行彻底变革 ,将国有企业的法人制改为由国家承担无限责任的非法人制 ,实现所有权对经营权的制约 ,防止国有资产的流失 ,体现和维护全民利益。更多还原

【Abstract】 This paper analyses the state-run industrial property as the inherent disadvantageous and devoid of the property subject, and the high cost in the entrustment of the state-run share in the perspective of the analysis of the concept of state-run industrial property. Neither the reform of the stock system nor the authorized operation of state property can rid these disadvantages. The basic way out for the reform lies in a way of binary model, that is, the privatization of state-run industrial property in competitive rate, which means a thorough reform of the sate-run enterprise system in the monopoly trade with replacing the corporate system of the state-run enterprises with a non-corporate one. In this case the state takes an unlimited liability, so as to realize the restraint of the ownership towards the management and to prevent the state assets from running off and protect the people’s interest.更多还原
