我国公司资本制度及其完善问题初探
About China’s Corporation Capital System and Its Consummation
【摘要】 我国现行的严格的公司法定资本制 ,在实施过程中出现了虚假出资和抽逃出资等问题。公司法修改应当采用折中资本制并加强民事责任制度。
【Abstract】 In China the existing rigorous corporation legal capital system meets some problems in its implementation such as fictitious investment and investment evading.The revision of the corporation law should take compromise capital system and enforce the civil responsibility system.
