【摘要】 国有企业改革迄今仍难以取得突破 ,其症结即在于已出台的一系列改革方案是以法人产权完全不需要自然人产权作基础而可独立运营来作其理论基础的。因此 ,自然得始终维护代理人控制权 ,结果根本无法建立企业约束有力的治理结构而确保经营以利润最大化为唯一目标。突破的途径只能是培养自然人产权并在此基础上使法人产权独立化 ,从而使政企、政资真正分开 ,彻底走上市场化之路更多还原

【Abstract】 The reform of state owned enterprises has been difficult to make breakthroughs.The core of the problem was that a series of reforms were based on the theoretical basis that the property rights of legal person would operate independently without that of natural person.This means the controlling right of truster has bee retained all the time,and the self restrictive management and operation system that make sure entenprises’ sole aim is to make maximum profit couldn’t be built up. The only way is to rear the property rights of natural person and then make that of legal person indepentent,and therefore to cut down the direct economic function of state so that the enterprises can take their way to market.更多还原
