【摘要】 在与控制权有关的争论中,我们发展了企业所有权理论,认为企业不仅是一个以合约方式结成的经济组织,更是一个以其拥有的资产为基础,利用“权威”的方式来配置资源的特殊装置。在一个多方缔约的企业组织里,最为关键的事情不在于缔约者提供什么样的资源,而在于他让渡资源的方式。企业所有不等于企业所用,企业所有的资源形成企业的所有权,是构成权威的基础;企业所用却不为企业所有的资源的控制权为要素的所有者掌握,它不构成权威的基础。这样企业作为一个凌驾于要素提供者之上的组织。也即企业所有不同于要素所有者所有,企业作为一个整体拥有法人产权。更多还原

【Abstract】 In the course of argue about control right,we develop the theory of firm’s ownership and control right.We consider that firm isn’t an economy organization which was formed by a kind of agreement,it is but also a special kind of equipment which use "authority" to collocate resources at the base of assets owned by the firm.In firms,the most important thing isn’t what kind of resources has been offered,but the form that the resources are offered.What the firms have had isn’t identical to what the firm have used.The former constitutes the base of authority.As a result,the firms become an entity which has the firms’ property right of fictitious person.更多还原
