【摘要】 本文依据合约形式区分了五种形式的合约,分别是完备合约、正式合约、非正式的书面合约、口头合约与默认合约;依据合约执行机制区分了三种主要的执行机制,分别是法律机制、市场机制和伦理机制。本文指出,合约形式与治理模式选择没有相关性,即"合约不相关",选择何种治理模式取决于治理机制的完备性。利用这一模型,本文从合约的角度解释了家族治理的成因。更多还原

【Abstract】 This article is based on the contract forms and distinguish five types ofcontracts.They are the complete contract,formal contract,informal Written contract,Verbal contracts and default contract.based on the contract enforcement mechanism,wedistinguish three main enforcement mechanisms,namely,legal mechanisms,market mechanismsand ethical mechanisms.This article pointed out that the contract forms and the corporationgovernance model is not relevant,namely,"the contract is not related to".The choice ofmode of governance depends on the completeness of governance mechanisms.Using this model,the paper explains the causes of family governance from the perspective of contract.更多还原
