【摘要】 现代公司的新特征与传统公司的单一性特征不同,表征为营利性和社会性兼顾、社会性越来越突显。现代公司的运作行为不仅关系到股东的利益,还关系到职工、消费者、债权人等利益相关者的利益,这就要求现代公司践行应有的社会责任。新《公司法》虽然明确规定了公司必须承担一定的社会责任,但具体强化的措施不够明确,应考虑着重从公司的责任主体、责任保护的对象两方面来强化公司社会责任。新《公司法》同时又引入了公司法人格否认制度来保障债权人的利益,但该制度仅仅是从保护公司债权人角度来强化公司的社会责任,这是绝对不够的,建议应从公司法人格否认的主张者、公司法人格否认的适用者两方面来完善公司法人格否认制度,进而达到平衡相关利益者,强化公司社会责任的目的。更多还原

【Abstract】 New characteristic of the modern company is different from the profit optimization in the traditional company.In modern company,the profit optimization and the sociality must be identically treated and the sociality appears more and more outstanding.The modern company’s operation is not only related to shareholder’s benefit,but also to the benefit of the stakeholders,such as employee,consumer,creditor and so on.So it is required that the modern company should fulfill proper social responsibility.Although new《Company Law》explicitly stipulates that the company must undertake the certain social responsibility and fulfill the corresponding legal duty,the specific measure is not enough clear,perfect the relevant system from corporate responsibility ’s undertaker(mainly refer to trustee) and the protection object,then safeguard the stakeholders’ legitimate benefit.New《Company Law》simultaneously introduces the system of disregard of corporate personality to safeguard creditor’s benefit,but the system merely strengthens the corporate social responsibility from the protecting creditor’s aspect,this is not sufficient.We ought to perfect it from the assertor and undertaker to balance stakeholders and strengthen corporate social responsibility.更多还原
